Terms of Service

Shopynn provides cloud software for inventory management, sales, purchases, customer ordering, and related reporting. Features depend on your subscription plan. We may update or discontinue features with reasonable notice where practical.

You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account. You must be authorized to bind the business you register and comply with applicable laws in your jurisdiction.

• Free trial — The Free plan is active for 14 days with no payment required, subject to Free-tier limits. • Paid plans — Starter, Business, and Scale require payment to activate. Until payment, the subscription may remain in a pending state and product access may be limited. • Fees — Published prices (e.g. in GHS) apply unless otherwise agreed in writing. Taxes may apply. • Renewal — Paid subscriptions renew according to the billing interval shown at checkout unless cancelled. • Cancellation — You may cancel according to in-app subscription settings; access continues until the end of the paid period unless otherwise stated.

You agree not to: • Use the service for unlawful purposes or to store illegal content. • Attempt to breach security, probe systems without permission, or interfere with other users. • Reverse engineer the service except where law permits. • Resell or sublicense the service without our written consent. • Upload malware or send spam through the platform.

You retain ownership of business data you upload. You grant Shopynn a limited license to host, process, and display that data solely to provide and improve the service. You are responsible for the accuracy of your data and for obtaining any consents needed from your customers or staff.

Shopynn owns the platform, branding, and documentation. These Terms do not grant you rights to our trademarks or source code except as needed to use the service.

Each party will protect the other’s confidential information. We implement safeguards described on our Security page but cannot guarantee uninterrupted or error-free operation.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPYNN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID TO SHOPYNN IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

You will indemnify Shopynn against claims arising from your use of the service, your data, or your violation of these Terms or applicable law, except where caused by our gross negligence or willful misconduct.

Either party may terminate for material breach if not cured within a reasonable period after notice. We may suspend access immediately for security risks or legal violations. Upon termination, your right to use the service ends; export provisions in-app may apply before data deletion.

These Terms are governed by the laws of Ghana, without regard to conflict-of-law rules, unless mandatory local law requires otherwise. Disputes will be resolved in the courts of Ghana unless we agree to another forum in writing.
